How the mergers and acquisitions transactions that we see on the press start will be explained. In this context, some basic concepts such as due diligence and Letter of Intent will also be mentioned.

Strategic and Financial Investors In this class, the difference between basic approach and expectations of strategic and financial investors will be analyzed. The better understanding of the subject is aimed through the participation of experts who are not legal professionals.

Valuation The way to determine the value of companies and the factors and risks should be taken into account will be explained.

Negotiation of the Agreements Negotiation is the basis of mergers and acquisitions transactions. Negotiation methods and approaches will be analyzed through good and bad examples.

Preparation of the Agreements How the terms reached through negotiations should be reflected on the contracts and the use of the provisions of the contract will be explained.

Strategic Case Study: Peak Games Following the analysis of the basic concepts, the dynamics of the real transactions, their emergence and the closing of these transactions will be explained. Peak Games is one of the transactions which exceed the billion dollar level and it includes very interesting dynamics. It is opined that knowing these will be beneficial for the students

Financial Deal Case Study Through the successful and unsuccessful transaction examples of financial investors, the expectations and the dynamics of the management of these expectations will be explained.

The Most Risky Provisions of the Agreements: Regulations Found In Almost All Agreements In mergers and acquisitions transactions, Parties usually focus on the provisions which regulate special issues and the rest of the provisions "always stay the same". For this reason, they carry significant risks. In this class these general provisions which stay the same in almost all contracts will be analyzed. There will not be a visiting speaker in this class.

Acquisition Finance In order for the acquisitions to be realized, financing them is inevitable. The subject will be explained by taking legal restrictions and international practice into account.

Competition Law and Mergers and Acquisitions In terms of competition law, the notification of the transactions subject to control and the critical issues in the execution of the notification process will be discussed. Mergers and acquisitions notifications are not a simple "fill-in-the-form activities", but they are not rocket science either. Basic principles regarding the preparation of notifications and the management of the process in terms of mergers and acquisitions will be explained.
